1. Purpose

This Mentor Agreement ("Agreement") governs the relationship between Meritza Classes ("Meritza Classes", "Platform", "we", "our", or "us") and the individual mentor ("Mentor", "you", or "your").

By accepting mentor assignments, conducting sessions, communicating with students, receiving compensation, or otherwise participating on the Platform, the Mentor agrees to be legally bound by this Agreement and all related Platform policies.

2. Nature of Relationship

The Mentor acknowledges and agrees that:

  • The Mentor participates as an independent service provider.
  • Nothing in this Agreement creates an employment relationship.
  • Nothing creates a partnership, agency, franchise, joint venture, or employer-employee relationship.
  • The Mentor is solely responsible for their professional conduct and regulatory obligations.

The Mentor shall not represent themselves as an employee, representative, or authorized spokesperson of Meritza Classes unless expressly authorized in writing.

3. Eligibility and Verification

The Mentor represents and warrants that:

  • All information provided is accurate and complete.
  • Academic credentials are genuine.
  • Professional achievements are truthful.
  • Identity information is accurate.
  • The Mentor possesses the qualifications necessary to provide mentorship services.

Meritza Classes reserves the right to verify information at any time.

Providing false, misleading, incomplete, or fraudulent information may result in immediate termination.

4. Mentor Responsibilities

The Mentor agrees to:

  • Conduct sessions professionally.
  • Maintain high standards of academic integrity.
  • Provide educational guidance in good faith.
  • Remain punctual.
  • Prepare adequately for sessions.
  • Treat students respectfully.
  • Follow all Platform policies.
  • Protect student confidentiality.
  • Maintain professional boundaries.

The Mentor shall act in a manner that protects the reputation and interests of Meritza Classes.

5. Session Delivery Obligations

The Mentor shall:

  • Join sessions on time.
  • Conduct sessions diligently.
  • Complete assigned session durations.
  • Address student learning objectives reasonably.
  • Maintain professional communication standards.
  • Follow Platform scheduling procedures.

Repeated delays, missed sessions, cancellations, or poor conduct may result in disciplinary action.

6. Homework and Student Progress Tracking

For every paid mentorship session, the Mentor shall:

  • Assign reasonable academic tasks, practice work, or homework where appropriate.
  • Track student progress.
  • Review previously assigned work.
  • Maintain progress records.

The Mentor acknowledges that continuous student monitoring forms a core part of the mentorship experience offered by Meritza Classes.

7. Reporting Requirements

The Mentor agrees to maintain accurate records relating to assigned students.

Where required by Meritza Classes, Mentors shall:

  • Update Platform-provided Google Sheets.
  • Record attendance.
  • Record session completion.
  • Submit student progress updates.
  • Submit academic observations.
  • Maintain assignment tracking records.

Failure to maintain required records may affect payout eligibility.

8. Confidentiality

The Mentor acknowledges that they may receive access to confidential information including:

  • Student information.
  • Parent information.
  • Internal business information.
  • Pricing structures.
  • Compensation information.
  • Operational procedures.
  • Educational materials.
  • Business strategies.
  • Platform data.

Such information shall remain strictly confidential.

The Mentor shall not disclose, copy, distribute, publish, share, or use confidential information except as necessary to perform authorized services.

These obligations survive termination of this Agreement.

9. Non-Circumvention

The Mentor shall not directly or indirectly:

  • Bypass the Platform.
  • Divert students from the Platform.
  • Divert parents from the Platform.
  • Establish independent mentorship arrangements arising from Platform introductions.
  • Solicit Platform students.
  • Solicit Platform parents.
  • Refer Platform users to competing services.
  • Assist others in bypassing Platform systems.

Any circumvention attempt shall constitute a material breach of this Agreement.

10. Non-Solicitation

During participation on the Platform and for a period of twenty-four (24) months following termination, the Mentor shall not directly or indirectly:

  • Solicit Platform students.
  • Solicit Platform parents.
  • Solicit active mentors of the Platform.
  • Encourage Platform users to discontinue Platform services.

This provision is intended to protect the legitimate business interests of Meritza Classes.

11. Contact Sharing Restrictions

Mentors shall not request, share, exchange, or encourage exchange of:

  • Personal phone numbers.
  • WhatsApp numbers.
  • Email addresses.
  • Social media accounts.
  • Telegram IDs.
  • Personal websites.
  • Direct communication channels.

This restriction applies to communications with students and parents unless expressly authorized by Meritza Classes.

12. Payment Confidentiality

The Mentor acknowledges that compensation arrangements between Meritza Classes and the Mentor are strictly confidential.

The Mentor shall not disclose:

  • Compensation amounts.
  • Payout structures.
  • Commission arrangements.
  • Internal pricing information.
  • Financial terms.

The Mentor shall not discuss payment-related matters with students, parents, or guardians.

13. Direct Payment Prohibition

The Mentor shall not:

  • Request payment from students.
  • Request payment from parents.
  • Accept direct payments.
  • Negotiate pricing independently.
  • Offer discounts independently.
  • Conduct paid services outside Platform approval.

Any violation may result in immediate termination and legal action.

14. Compensation and Payouts

Subject to compliance with Platform policies:

  • Mentors shall receive approved compensation from Meritza Classes.
  • Standard payout processing shall occur weekly.
  • Tuesday shall ordinarily serve as the payout day.
  • Payment timing may vary depending on banking systems and verification procedures.

Meritza Classes reserves the right to modify compensation structures at any time.

15. Payout Withholding

Meritza Classes may delay, adjust, withhold, offset, or recover payouts where:

  • Policy violations occur.
  • Fraud is suspected.
  • Investigations are ongoing.
  • Student complaints require review.
  • Reporting obligations are incomplete.
  • Circumvention is suspected.
  • Chargebacks affect Platform revenue.

16. Child Safety Obligations

The Mentor acknowledges that many users of the Platform are minors.

The Mentor shall:

  • Maintain professional boundaries.
  • Avoid inappropriate communications.
  • Avoid personal relationships with students.
  • Report safety concerns immediately.
  • Comply with Child Safety Policy requirements.

Meritza Classes maintains a zero-tolerance policy toward child exploitation, grooming, abuse, harassment, or predatory conduct.

17. Intellectual Property

All Platform materials, systems, branding, documentation, operational procedures, student databases, educational resources, and related intellectual property remain the exclusive property of Meritza Classes.

The Mentor shall acquire no ownership rights through participation on the Platform.

18. Student Ownership

The Mentor acknowledges that:

  • Students introduced through the Platform remain Platform users.
  • Parents introduced through the Platform remain Platform users.
  • Business relationships created through Platform introductions belong exclusively to the Platform.

The Mentor shall not claim ownership over Platform-generated relationships.

19. Investigation Rights

Meritza Classes reserves the right to:

  • Review communications.
  • Review attendance records.
  • Review performance records.
  • Investigate complaints.
  • Request documentation.
  • Conduct internal investigations.

The Mentor agrees to cooperate fully with such investigations.

20. Termination

Meritza Classes may suspend, restrict, or terminate this Agreement immediately without notice where:

  • Policies are violated.
  • Fraud is suspected.
  • Child safety concerns arise.
  • Circumvention occurs.
  • Confidentiality is breached.
  • Misconduct occurs.
  • Platform interests are threatened.

Termination may occur without liability.

21. Indemnification

The Mentor agrees to indemnify and hold harmless Meritza Classes from any claims, losses, liabilities, penalties, damages, expenses, or legal costs arising from:

  • Mentor misconduct.
  • Violation of this Agreement.
  • Negligence.
  • Regulatory violations.
  • Breach of confidentiality.
  • Unauthorized conduct.

22. Limitation of Liability

To the maximum extent permitted by law, Meritza Classes shall not be liable for indirect, consequential, incidental, punitive, or special damages arising from this Agreement.

Any liability shall remain subject to the limitations set forth in the Platform Terms & Conditions.

23. Survival

The provisions relating to the following shall survive termination of this Agreement:

  • Confidentiality.
  • Non-circumvention.
  • Non-solicitation.
  • Intellectual property.
  • Payment confidentiality.
  • Student ownership.
  • Indemnification.

24. Dispute Resolution

Any dispute arising under this Agreement shall first be addressed through good-faith discussions.

If unresolved, the matter shall be referred to arbitration in Delhi in accordance with the Arbitration and Conciliation Act, 1996.

The arbitration shall be conducted by a sole arbitrator appointed by Meritza Classes.

The decision of the arbitrator shall be final and binding.

25. Governing Law

This Agreement shall be governed by the laws of India.

Subject to arbitration provisions, courts located in Delhi, India shall have exclusive jurisdiction.

27. Mentor Acknowledgement

By accepting mentor assignments, conducting sessions, or receiving compensation through the Platform, the Mentor acknowledges that:

  • They have read and understood this Agreement.
  • They agree to comply with all Platform policies.
  • They accept the restrictions and obligations described herein.
  • They understand that violations may result in suspension, termination, recovery actions, withholding of payouts, and legal proceedings.
