1. Purpose

This Payment & Payout Policy ("Policy") governs all payments, collections, billing activities, mentor compensation, payouts, transaction processing, financial obligations, and related matters concerning services offered through Meritza Classes ("Meritza Classes", "Platform", "we", "our", or "us").

This Policy forms an integral part of the Meritza Classes Terms & Conditions and all other applicable Platform policies.

By using Platform services, purchasing mentorship services, accepting mentorship assignments, receiving payouts, or otherwise participating on the Platform, users agree to be bound by this Policy.

2. Payment Processing

All payments for Platform services must be made through payment methods approved by Meritza Classes.

Accepted payment methods may include:

  • UPI
  • Bank transfers
  • Razorpay
  • Credit cards
  • Debit cards
  • Other approved payment channels

Meritza Classes reserves the right to add, remove, restrict, or modify accepted payment methods at any time.

3. Platform-Controlled Payments

All payments relating to Platform services shall be administered exclusively by Meritza Classes.

Students, parents, guardians, mentors, and users shall not:

  • Exchange payments directly.
  • Request direct payments.
  • Accept direct payments.
  • Negotiate payment arrangements outside Platform approval.
  • Create alternative financial arrangements connected to Platform services.

Any attempt to bypass Platform payment systems constitutes a material violation of Platform policies.

4. Pricing

Meritza Classes reserves the right to:

  • Determine service pricing.
  • Modify pricing structures.
  • Introduce promotional offers.
  • Apply discounts.
  • Change mentor compensation models.
  • Introduce new fee structures.

Prices may vary based on:

  • Program type
  • Mentor profile
  • Academic level
  • Duration
  • Service scope
  • Market conditions

Pricing changes shall not automatically apply retroactively to previously confirmed purchases unless expressly stated.

5. Student Payment Obligations

Students and parents agree to:

  • Pay all applicable fees.
  • Provide accurate billing information.
  • Maintain valid payment methods.
  • Comply with payment requirements.
  • Refrain from unauthorized payment disputes.

Failure to complete payment obligations may result in suspension, cancellation, or termination of services.

6. Mentor Compensation

Mentors shall receive compensation solely from Meritza Classes and not from students, parents, or guardians.

Mentor compensation may vary based on:

  • Mentor category
  • Program type
  • Experience level
  • Session duration
  • Platform policies
  • Business requirements

Compensation structures may be revised periodically at the sole discretion of Meritza Classes.

No mentor is entitled to future compensation rates based on historical payment structures.

7. Payout Schedule

Unless otherwise agreed in writing:

  • Approved mentor payouts shall be processed weekly.
  • Standard payout day shall be Tuesday.
  • Processing timelines may vary due to banking systems, holidays, payment providers, verification requirements, or operational circumstances.

Meritza Classes does not guarantee exact credit timing once a payout has been initiated.

8. Conditions for Payout Eligibility

Mentor payouts may be conditioned upon:

  • Successful completion of assigned sessions.
  • Accurate attendance reporting.
  • Submission of required records.
  • Compliance with Platform policies.
  • Completion of administrative obligations.
  • Absence of ongoing investigations affecting payout eligibility.

Meritza Classes reserves the right to delay, adjust, review, or withhold payouts where verification is required.

9. Session Verification

The Platform may verify:

  • Session attendance
  • Session duration
  • Student participation
  • Mentor participation
  • Session completion status
  • Administrative compliance

Only verified sessions may qualify for payout consideration.

10. Record-Keeping Requirements

Mentors may be required to:

  • Maintain attendance records.
  • Submit progress updates.
  • Track assigned tasks.
  • Update Platform-provided reporting systems.
  • Maintain reasonable documentation relating to sessions.

Failure to comply may affect payout processing.

11. Tax Responsibility

Mentors remain solely responsible for:

  • Income tax obligations.
  • Tax filings.
  • Professional tax liabilities.
  • Regulatory compliance applicable to their earnings.

Meritza Classes does not provide tax advice.

Where legally required, the Platform may request information necessary for tax compliance.

12. Payment Disputes

Users must promptly report payment-related concerns.

Before raising disputes with banks, payment processors, or financial institutions, users agree to provide Meritza Classes with a reasonable opportunity to investigate and address the issue.

The Platform reserves the right to review and determine appropriate resolutions.

13. Chargebacks and Payment Reversals

Where a user initiates chargebacks, payment reversals, payment disputes, or unauthorized transaction claims, Meritza Classes may:

  • Contest such claims.
  • Submit evidence.
  • Suspend services.
  • Restrict account access.
  • Recover associated costs.
  • Pursue legal remedies.

Evidence may include payment records, communications, session logs, attendance records, policy acknowledgements, and user activity records.

14. Fraud Prevention

Meritza Classes reserves the right to:

  • Verify transactions.
  • Request supporting documents.
  • Conduct fraud investigations.
  • Restrict suspicious accounts.
  • Cancel suspicious transactions.

Users engaging in fraudulent activity may face account termination and legal action.

15. Payout Withholding Rights

The Platform reserves the right to temporarily withhold, delay, adjust, offset, or recover payouts where:

  • Fraud is suspected.
  • Policy violations occur.
  • Chargebacks arise.
  • Investigations are ongoing.
  • Financial discrepancies are identified.
  • Non-circumvention provisions are breached.

Such actions may be taken to protect Platform interests and user safety.

16. No Employment Relationship

Mentors acknowledge that compensation received under this Policy does not create:

  • Employment.
  • Partnership.
  • Agency.
  • Joint venture.
  • Employer-employee relationship between the mentor and Meritza Classes.

Mentors participate as independent service providers.

17. Limitation of Liability

To the maximum extent permitted by law, Meritza Classes shall not be liable for:

  • Banking delays.
  • Payment gateway failures.
  • Technical disruptions.
  • Third-party processing issues.
  • Indirect or consequential financial losses.

Any liability shall remain subject to the limitations contained in the Terms & Conditions.

18. Policy Modifications

Meritza Classes reserves the right to amend, modify, replace, suspend, or update this Policy at any time.

Changes become effective upon publication unless otherwise stated.

Continued use of the Platform constitutes acceptance of revised versions.

19. Dispute Resolution

Any dispute arising under or relating to this Policy shall be governed by the dispute resolution provisions contained within the Meritza Classes Terms & Conditions.

Parties agree to first attempt good-faith resolution before commencing arbitration proceedings.

20. Governing Law

This Policy shall be governed by and construed in accordance with the laws of India.

Subject to arbitration provisions, courts located in Delhi, India shall have exclusive jurisdiction.
